1. Background
The state-owned banking sector of Afghanistan currently comprises three institutions, all of which are dutifully established under raw and regulated by the Central Bank of Afghanistan. Bank-E-Millie Afghan (BMA) and Pashtany Bank (PB) have been historically state-owned and were founded in 1933 and 1954, respectively. New Kabul Bank (NKB) was only established in 2011 as part of the resolution efforts with respect to the failed privately-held Kabul Bank and its subsequent nationalization.
The Government of the Islamic Republic of Afghanistan (GoIRA) has launched an ambitious strategy to reform and modernize the state-owned banking sector (SB). It aims to make SB financially and economically sustainable. This will enable those institutions to meaningfully contribute towards GoIRA’s financial inclusion and access to finance targets, fostering economic growth and job creation. Implementation of SB reforms will be supported by a World Bank-funded project (‘Modernizing Afghan State Owned Banks’).
Three fundamental areas will be the focus of the modernization agenda: (a) corporate governance, (b) institutional development and businesses strategy, and (c) information and communication technology (ICT) systems. As far as (b) institutional development and business strategy is concerned, making the institutions sustainable in the long run will be essential. This may require redefinition of SBs’ business model and adjustment to their operations scale, in accordance with their respective mandates and business considerations.

As part of the implementation of the strategy, the Ministry of Finance is recruiting a Legal Advisor for the following tasks:
• Review the existing legal and regulatory framework of the three State Banks;
• Based on the review, provide legal guidance as part of the implementation of the State Banks strategy;
• Prepare legal package for the High Economic Council based on strategic priorities to be established as part of the modernization process;
• If applicable and necessary, provide legal guidance for legislative process involving the Parliament.

This assignment will be undertaken in coordination with parallel assignments related to the Government’s reform plan

Duties and Responsibilities

4. Duration of assignment
12 months, with quarterly progress reports.

Selection Method:
Selection will be carried out through Limited Competitive Selection of Individual Consultants in accordance with paragraph 7.38 of the Bank’s Procurement Regulations for Borrowers for Goods, Works, Non-Consulting and Consulting Services dated July 1, 2016 (Procurement Regulations)

Qualifications

3. Selection Criteria
The Legal Advisor must meet the following requirements:
• Thorough knowledge of Afghan Banking Law, State Bank sector and legislative process;
• Law degree;
• At least ten (10) years of relevant professional experience. Experience within regulatory and/or financial institutions preferred;
• Fluency in English and either Dari or Pashto.
• Good recent knowledge of the Afghan context.
• Experience in working with Senior Executives and Government officials.
